1. Acceptance of Terms

By accessing or using Surf Rank Pte. Ltd.'s website, platform, APIs, or any other services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these Terms, you may not access or use the Services. If you are using the Services on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

2. Description of Services

SurfRank is an AI Search Intelligence Platform that provides businesses with visibility analytics across 12+ AI engines. Our Services include:

• Brand visibility tracking and monitoring across AI engines including ChatGPT, Gemini, Perplexity, Claude, Grok, DeepSeek, Meta AI, Copilot, Mistral, Qwen, and more
• Visibility scores, sentiment analysis, prominence tracking, and competitive intelligence
• Competitor tracking, prompt discovery, and citation analysis
• Quick Test — on-demand brand visibility testing across selected engines and countries
• Brand Overview — brand voice and positioning management
• Article Studio — AI-assisted content generation for improving brand visibility
• AI Agent — conversational access to your visibility data via messaging platforms
• Historical reports, trend analysis, and actionable recommendations
• API access for integrating visibility data into your own systems

We reserve the right to modify, suspend, or discontinue any part of the Services at any time. Where practical, we will provide reasonable advance notice of material changes.

3. User Accounts

To use certain features of the Services, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorised use of your account at [email protected]

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or have been inactive for an extended period.

4. Subscription Plans and Billing

SurfRank offers various subscription plans with different features and usage limits. By selecting a paid plan, you agree to the following:

• Billing Cycle: Subscriptions are billed on a recurring basis (monthly or annually) according to the plan you select
• Payment: You authorise us to charge your designated payment method for all fees associated with your subscription. Payments are processed securely by Stripe
• Renewals: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date
• Price Changes: We may change our prices with at least 30 days' notice. Your continued use after a price change constitutes acceptance of the new pricing
• Refunds: Refund requests are handled on a case-by-case basis. Contact our support team at [email protected] for assistance
• Taxes: Prices are exclusive of applicable taxes (GST, VAT, etc.) unless stated otherwise. You are responsible for all taxes applicable to your subscription

Free plan users are subject to usage limits as described on our pricing page.

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Attempt to gain unauthorised access to our systems or other users' accounts
• Use automated tools (bots, scrapers, crawlers) to access the Services beyond the provided APIs
• Reverse engineer, decompile, or disassemble any part of the Services
• Interfere with or disrupt the integrity or performance of the Services
• Transmit viruses, malware, or other harmful code
• Resell, redistribute, or sublicense access to the Services without our written consent
• Use the Services to harm, mislead, defame, or harass others
• Submit false or misleading brand information to manipulate visibility scores
• Circumvent usage limits, rate limits, or access controls

Violation of this section may result in immediate termination of your account without refund and, where applicable, legal action.

6. Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, software, scoring algorithms, visibility methodologies, and data compilations — are the exclusive property of Surf Rank Pte. Ltd. and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you submit to the Services (such as brand names, website URLs, and business descriptions). By submitting content, you grant SurfRank a non-exclusive, worldwide, royalty-free licence to use that content solely for the purpose of providing the Services to you.

You may not copy, reproduce, distribute, or create derivative works from any part of the Services without our prior written consent.

7. Data and Accuracy

SurfRank provides visibility scores, analytics, and insights based on data collected from third-party AI engines. While we strive for accuracy and reliability:

• AI engine responses may vary over time and between sessions
• Visibility scores are approximations based on our proprietary methodology
• We do not guarantee that our data reflects real-time AI engine behaviour at any given moment
• Third-party AI engines may change their responses, APIs, or policies without notice
• Data availability may vary by engine, country, and language

The Services are provided for informational and strategic purposes and should not be the sole basis for business decisions.

8. Third-Party Services and AI Engines

Our Services integrate with and query third-party AI engines and services, including OpenAI (ChatGPT), Google (Gemini), Perplexity, Anthropic (Claude), xAI (Grok), DeepSeek, Meta AI, Microsoft (Copilot), Mistral, Alibaba (Qwen), and others. By using SurfRank:

• You acknowledge that brand-related queries will be sent to your selected AI engines on your behalf
• Each AI engine is governed by its own terms of service and privacy policy
• We are not responsible for the content, accuracy, or policies of third-party AI engines
• Third-party services may be modified, suspended, or discontinued independently of SurfRank

If you connect third-party accounts (e.g. Google Analytics), you authorise SurfRank to access and display that data within your dashboard as described in our Privacy Policy.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Surf Rank Pte. Ltd. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities
• Cost of procurement of substitute services
• Any damages arising from your use or inability to use the Services
• Any unauthorised access to or alteration of your data
• Any changes or interruptions to third-party AI engine availability

In no event shall our total aggregate liability exceed the amount you paid for the Services in the twelve (12) months immediately preceding the claim.

10. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or completely secure, or that any defects will be corrected. We make no warranty regarding the accuracy, completeness, or reliability of any data, scores, or insights provided through the Services.

11. Indemnification

You agree to indemnify, defend, and hold harmless Surf Rank Pte. Ltd. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account and associated data in accordance with our Privacy Policy
• Outstanding fees remain due and payable
• Any provisions of these Terms that by their nature should survive termination will remain in effect

You may terminate your account at any time by contacting our support team at [email protected] or through your account settings. Termination does not entitle you to a refund of prepaid fees.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

For users in the European Union, nothing in these Terms limits your rights to bring claims before your local courts or consumer protection authorities as provided by applicable law.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website, updating the effective date, and sending email notification to registered users at least 14 days before changes take effect. Your continued use of the Services after any changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.
